Constitution and Bylaws Committee

The American Academy of Oral Medicine Board of Trustees has reviewed the cur­rent AAOM Bylaws and is making the following proposal for amendments:

AMERICAN ACADEMY OF ORAL MEDICINE April 2011

Current AAOM Bylaws, Article III – Board of Trustees, Section 1. Composition:

The Board of Trustees shall consist of the elected officers of the Academy, the Editors of the Newsletter and the Oral Medicine section of the of­ficial journal of the Academy, all Past-Presidents, the chairperson or co-chairperson (if the chairperson cannot attend) of standing and spe­cial committees, a representative of the Federal Services, and the local chairpersons of the Annual and other Academy meetings. The Presidents of the Oral Medicine Foundation and the Board of Oral Medicine or his/her designees shall be ex-officio, nonvot­ing members. Additional members may be appointed by the President, with the approval of the Board of Trustees where representation would be advantageous to the membership of the Academy.

PROPOSED CHANGE AAOM BYLAWS, ARTICLE III – BOARD

OF TRUSTEES, SECTION 1.

COMPOSITION:

Remove the following sentence from AAOM Bylaws, Article III – Board of Trustees, Section 1. Composition: “The President of the Oral Medicine Foundation and the Board of Oral Medicine or his/her designee shall be ex-officio, nonvoting members.”

CURRENT AAOM BYLAWS, ARTICLE XIII – AMENDMENTS, SECTION 2

These Bylaws may be amended at any annual or other academy meet­ings by unanimous affirmative vote of the members of the General Assembly present and voting, provided that said proposed amendment had been presented in writing at the previous session of said meeting.

PROPOSED CHANGE AAOM BYLAWS, ARTICLE XIII, AMENDMENTS, SECTION 2

Remove from Article XIII – Amendments, Section 2. the word “unanimous” so that Section 2. shall read: “These Bylaws may be amend­ed at any annual or other Academy meetings by 2/3 majority affirmative vote of the members of the General Assembly present and voting, pro­vided that said proposed amendment has been presented in writing at the previous session of said meeting.”
